HOMEFILE TERMS OF SERVICE

1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Homefile, Inc. (“Homefile,” “we,” “our,” or “us”), governing your access to and use of the Homefile platform, including our website at homefilecloud.com, mobile applications, the Homi AI assistant, application programming interfaces, and all related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility
You must be at least 18 years of age to use the Service. By using Homefile, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Description of Service
Homefile provides a home data infrastructure platform that enables homeowners and authorized users to capture, organize, store, and manage information related to residential properties. The Service includes, without limitation:
• Document capture, storage, and organization through direct upload, email forwarding, and optical character recognition (OCR) processing
• The Homi AI assistant, which provides personalized home management recommendations, maintenance reminders, and automated data extraction
• An appliance and home systems database with warranty tracking, product recall monitoring, and maintenance scheduling
• Integration with third-party data sources, including weather services, FEMA databases, and product recall databases
• Connectivity with authorized business-to-business (“B2B”) service partners, including home service providers, insurance companies, and property management firms

Homefile serves as a system of record for home data. The Service is designed to provide accurate and reliable information, but does not replace professional inspections, appraisals, legal advice, or other expert assessments.

4. Account Registration and Security
To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to:

• Provide truthful and accurate information during registration and throughout your use of the Service
• Promptly update your account information if it changes
• Notify us immediately at support@homefilecloud.com if you become aware of any unauthorized access to or use of your account
• Not share your account credentials with any third party

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

5. User Content and Data
5.1 Ownership
You retain all ownership rights in the documents, files, data, and other content you upload, submit, or transmit through the Service (“User Content”). Homefile does not claim ownership of your User Content.

5.2 License Grant
By submitting User Content to the Service, you grant Homefile a limited, non-exclusive, worldwide, royalty-free license to use, process, store, reproduce, and display your User Content solely for the purposes of providing, maintaining, and improving the Service. This license includes the right to process your documents through OCR and AI systems, extract and organize data, and generate recommendations based on your content.
This license terminates when you delete your User Content or close your account, except to the extent that retention is required by law or as described in our Privacy Policy.

5.3 User Representations
You represent and warrant that:

• You own or have the necessary rights and permissions to upload and share all User Content
• Your User Content does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, or other rights of any third party
• Your User Content does not contain any viruses, malware, or other harmful code
• Your use of the Service complies with all applicable laws and regulations

5.4 Prohibited Content
You agree not to upload, transmit, or store any content that:

• Is unlawful, fraudulent, threatening, abusive, defamatory, or otherwise objectionable
• Contains personally identifiable information of third parties without their consent
• Is designed to interfere with or disrupt the Service or its infrastructure
• Violates any applicable law, regulation, or third-party rights

6. AI-Powered Features
The Service incorporates artificial intelligence, including the Homi AI assistant, OCR processing, and automated data extraction and categorization. You acknowledge and agree that:

• AI-generated recommendations, categorizations, and extracted data are provided on an informational basis and may contain errors or inaccuracies
• You are responsible for reviewing and verifying AI-generated outputs before relying on them for any purpose
• Homefile continuously works to improve accuracy but does not guarantee the correctness or completeness of AI-processed information
• AI features may process your User Content to generate insights, recommendations, and alerts, as described in our Privacy Policy
AI-generated content does not constitute professional advice of any kind, including but not limited to legal, financial, insurance, construction, or home inspection advice.

7. B2B Partner Services
The Service may enable you to connect with or receive services from Homefile’s authorized B2B partners. When you engage with a B2B partner through the Service:

• You authorize Homefile to share relevant home data with the partner to the extent necessary to facilitate the requested services
• The partner’s own terms of service and privacy policy will govern their use of your data and their delivery of services to you
• Homefile is not responsible for the acts, omissions, quality, or timeliness of services provided by B2B partners
• You may revoke a partner’s access to your data at any time through your account settings, though this may affect the partner’s ability to provide services to you

Homefile does not endorse, guarantee, warranty or assume liability for any products or services offered by B2B partners.

8. Fees and Payment
Homefile may offer both free and paid tiers of the Service. If you subscribe to a paid plan:

• Fees are as stated at the time of purchase and may be subject to change with reasonable advance notice
• Subscriptions will automatically renew at the end of each billing period unless you cancel before the renewal date
• All fees are non-refundable except as required by applicable law or as expressly stated in a separate agreement
• You are responsible for providing accurate and current payment information
Homefile reserves the right to modify pricing for future billing periods. We will provide at least thirty (30) days’ notice of any price changes.

9. Intellectual Property
The Service, including its software, design, text, graphics, logos, trademarks, data compilations, algorithms, AI models, the Homi AI assistant, and all other intellectual property embodied therein, is the exclusive property of Homefile or its licensors and is protected by applicable intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the Service or Homefile’s intellectual property, except for the limited right to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse-engineer, decompile, or create derivative works based on the Service or any part thereof without our prior written consent.

10. Prohibited Uses
You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to the Service
• Use any automated means, including bots, scrapers, or crawlers, to access or collect data from the Service without our prior written consent
• Interfere with or disrupt the integrity or performance of the Service
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Service to transmit spam, chain letters, or other unsolicited communications
• Sublicense, resell, or redistribute access to the Service without our prior written consent
• Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure

11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, HOMEFILE DOES NOT WARRANT THAT:

• The Service will be uninterrupted, error-free, or free of viruses or other harmful components
• The accuracy, reliability, or completeness of any data processed through OCR, AI, or other automated systems
• The results obtained from the use of the Service will meet your requirements or expectations
• Any data obtained from third-party sources, including weather, FEMA, or recall databases, will be accurate, current, or complete

YOU ACKNOWLEDGE THAT HOMEFILE IS A DATA MANAGEMENT PLATFORM AND NOT A LICENSED HOME INSPECTOR, APPRAISER, CONTRACTOR, INSURANCE ADVISOR, OR OTHER PROFESSIONAL. THE SERVICE DOES NOT REPLACE PROFESSIONAL ASSESSMENTS OR ADVICE.

12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOMEFILE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to access or use the Service
• Any conduct or content of any third party on or through the Service, including B2B partners
• Any content obtained from the Service, including AI-generated recommendations or data extracted through OCR processing
• Unauthorized access, use, or alteration of your User Content or transmissions
• Any reliance on information provided through the Service, including maintenance recommendations, recall alerts, or weather-related advisories

IN NO EVENT SHALL HOMEFILE’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO HOMEFILE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification
You agree to indemnify, defend, and hold harmless Homefile and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

• Your use of the Service or any activity under your account
• Your User Content or any data you provide through the Service
• Your violation of these Terms or any applicable law or regulation
• Your infringement of any third-party rights
• Any dispute between you and a B2B partner arising from services facilitated through the platform

14. Termination
You may terminate your account at any time by contacting us at support@homefilecloud.com or through your account settings. Upon termination, your right to use the Service will cease immediately. Homefile may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we reasonably believe that:

• You have violated these Terms
• Your use of the Service poses a security risk or may cause harm to other users or the Service
• Continued provision of the Service to you is no longer commercially viable

Upon termination, we will make your User Content available for export for a period of thirty (30) days, after which we may delete it.
Sections 5.1, 9, 11, 12, 13, 15, and 16 shall survive termination. 15. Dispute Resolution and Arbitration 15.1 Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@homefilecloud.com and attempt to resolve the dispute informally for a period of at least sixty (60) days.

15.2 Binding Arbitration
If we are unable to resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the State of [STATE]. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver
YOU AND HOMEFILE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

15.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws provisions. To the extent that any lawsuit or court proceeding is permitted hereunder, you and Homefile agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

17. Modifications to Terms
Homefile reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the “Last Updated” date. For material changes that adversely affect your rights, we will make reasonable efforts to provide additional notice, such as via email or in-app notification. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service.

18. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Homefile regarding the Service and supersede all prior agreements and understandings.

Severability.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Waiver.
The failure of Homefile to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. Homefile may assign these Terms without restriction.

Force Majeure.
Homefile shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet disruptions, or third-party service failures.

All notices to Homefile shall be sent to legal@homefile.com. Notices to you shall be sent to the email address associated with your account.
